Whether you're looking to buy a business outright or take a stake in one, the financial risks need to be properly understood before you commit. The numbers in an information memorandum are a starting point, not the full picture.

Acquisitions and investments carry real risk, and the risk usually lives in the details. Revenue that looks consistent may depend on one or two key relationships. Margins that appear healthy may have been presented on normalised figures. Owner involvement may be masking something structural. The work is finding out what's actually there before you're committed.

We go through the financials in detail, build an independent view on valuation, and work alongside your legal advisors to make sure the financial and commercial assessment is properly integrated with the legal due diligence. We also build the acquisition model: whether the deal stacks up at the price being asked, how the structure looks post-completion, and what the business needs to generate to justify what you're paying.

If the numbers support the deal, you proceed with confidence. If they don't, you find out before it costs you.
